Terms of Service
These Terms of Service (“Terms”) are a legal agreement between you and [LEGAL ENTITY NAME], a New Jersey limited liability company (“WavebookAI,” “we,” “us”), governing your use of our websites, software, and services (the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. The Services
WavebookAI provides software for appointment businesses (“Shops”) to manage scheduling, payments, clients, and communications, and a marketplace where consumers can discover and book Shops. WavebookAI is a technology provider; the services booked (e.g., a haircut) are provided by the Shop, not by WavebookAI.
2. Eligibility & accounts
You must be at least 18 years old to create an account. You are responsible for the accuracy of your information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.
3. Booking clients
- Bookings. When you book, you enter an arrangement with the Shop for the service. The Shop, not WavebookAI, is responsible for the service.
- Confirmation & card holds. A booking may require you to confirm by providing a payment method to hold the appointment via a secure link. If a required card is not provided by the deadline set for the booking, the booking may be released and is not guaranteed.
- Cancellations & no-shows. Each Shop sets its own cancellation policy, including any cancellation window and applicable charges, shown to you at or before booking. By booking, you agree to the Shop’s policy, and you authorize charges permitted by that policy (such as late-cancellation or no-show fees).
4. Business clients
- Subscription. Shops access the Services under the plan they select; fees, term, and renewal are as presented at sign-up.
- Your responsibilities. You are responsible for your services, prices, staff, tax collection, your own cancellation and payment policies, and for complying with laws that apply to your business (including consumer, payment, and messaging laws).
- Client data. You are responsible for your clients’ data you process through the Services and for any required notices and consents. See the Privacy Policy for our respective roles.
- Messaging consent. You are responsible for obtaining consent before messages are sent to your clients through the Services. See the SMS & Messaging Terms.
5. Payments & fees
Payments are processed by our third-party processor ([Stripe]). Shops may connect their own processor account to collect payment from their clients. A Shop may choose whether to pass payment-processing costs on to its clients as a disclosed surcharge or to absorb them, subject to applicable law and card-network rules. Subscription fees for Shops are billed as described at sign-up and, unless stated otherwise, are non-refundable except as required by law.
6. Marketplace disclaimer
Shops are independent businesses, not employees or agents of WavebookAI. We do not guarantee the quality, safety, timing, pricing, or legality of any Shop’s services. Listings and sample content may be illustrative. Any dispute about a service is between you and the Shop.
7. Acceptable use
You agree not to misuse the Services, including by:
- Breaking the law or infringing others’ rights;
- Uploading harmful code, scraping, or attempting to disrupt or gain unauthorized access to the Services;
- Sending messages without required consent, or sending spam or deceptive content;
- Misrepresenting your identity or a business you do not control.
8. Intellectual property
The Services, including software, design, and content we provide, are owned by WavebookAI or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services per these Terms. You retain rights to the content you submit and grant us the license needed to operate the Services.
9. Third-party services
The Services rely on third parties (such as [Stripe] for payments and [Twilio] for messaging and calls). Your use of those features may be subject to the third party’s terms, and we are not responsible for their acts or omissions.
10. Disclaimers & limitation of liability
The Services are provided “as is” and “as available,” without warranties of any kind to the fullest extent permitted by law. To the maximum extent permitted by law, WavebookAI will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data; and our total liability for any claim relating to the Services is limited to the amount you paid us for the Services in the [12] months before the claim. You agree to indemnify WavebookAI against claims arising from your misuse of the Services or violation of these Terms. (Some jurisdictions do not allow certain limitations; some may not apply to you.)
11. Termination
You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or to protect the Services. Provisions that by their nature should survive termination will survive.
12. Governing law & disputes
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. The parties submit to the courts located in [County] County, New Jersey, except where other dispute-resolution terms (such as arbitration) are agreed in writing. [Arbitration and class-action-waiver provisions to be decided with counsel.]
13. Changes & contact
We may update these Terms; material changes will be posted with a new “Last updated” date, and continued use means you accept them. Questions: [legal@wavebookai.com], [LEGAL ENTITY NAME], [Business Address, New Jersey].
